Terms of Service

ODUKO REGISTRY LIMITED — Covering odukor.com, oduko.app, and odukoregistry.com.

1. Introduction

These Terms of Service, together with the Privacy Policy and the Cookie Policy referenced within them, form the agreement between a Member and Oduko Registry Limited, a company registered under the laws of the Federal Republic of Nigeria with registration number RC 8954900, having its registered address at Flat 3, Ikole City College Road, Off FMC Hospital, Oke Ijebu, Ikole Ekiti, Nigeria, and trading under the name Oduko R. Oduko Registry Limited is referred to throughout this document as Oduko R, the Company, we, us, or our.

These Terms apply together, as one unified set of terms, across odukor.com, oduko.app, and odukoregistry.com, which are treated as a single Platform for the purposes of this agreement, regardless of which of the three a Member happens to be using at a given time.

By creating an account, accessing the Platform, or making use of any service offered through it, a Member confirms that they have read, understood, and agreed to be bound by these Terms in full. A Member who does not agree to these Terms should not create an account or otherwise use the Platform.

2. Definitions

For the purposes of these Terms, the following words carry the meanings set out below:

MemberAny individual or business entity that creates an account on the Platform to receive compliance guidance, submit an Application, or otherwise make use of the services described in these Terms.
AffiliateAn individual or entity granted a distinct login to create business profiles and manage Applications on behalf of its own clients, whether or not those clients are themselves aware of the Platform.
Platformodukor.com, oduko.app, and odukoregistry.com, taken together as a single unified service for the purposes of this document.
ApplicationAny request submitted through the Platform for a compliance item, license, registration, or filing with a Regulatory Body.
Regulatory BodyAny government department, agency, or statutory body responsible for issuing, approving, or overseeing a compliance requirement, including but not limited to the Corporate Affairs Commission (CAC), the Federal Inland Revenue Service (FIRS), the National Agency for Food and Drug Administration and Control (NAFDAC), the National Pension Commission (PenCom), the Nigeria Social Insurance Trust Fund (NSITF), the Industrial Training Fund (ITF), and the Special Control Unit against Money Laundering (SCUML).
Compliance CatalogThe personalized set of compliance obligations generated for a Member based on the industry, stage, and operational intent of their business.

3. Eligibility and Account Registration

A Member must be at least eighteen years of age to register for and use the Platform, in keeping with the minimum age required to form and incorporate a business entity under the Companies and Allied Matters Act.

A single business profile is ordinarily managed by one registered Member. Where more than one person is to manage the same business profile, each additional person must be a listed stakeholder of the business, such as a director, and must appear as such on the relevant application status report before access is granted.

A Member is responsible for the accuracy of all information supplied during registration and throughout the use of the Platform, and agrees to keep such information current.

4. Description of Services

Oduko R operates as a hybrid service, combining software driven guidance with human consulting support, and organizes its offerings into separate service tiers rather than a single undivided service. When a Member signs up, the agreement formed is with Oduko Registry Limited as a company, and not solely with the Platform as a piece of software.

Certain features of the Platform are automated and are provided directly by the software, without individualized review by a person. These include the educational content made available to Members, the personalized Compliance Catalog, the information collection process, payment confirmations, and automatic notifications. This category of feature is intended to give a Member a clear and immediate starting point for understanding their compliance position, and reflects the best available regulatory information at the time it is presented, but it is not a substitute for individualized professional review.

Other features involve direct review and execution by a qualified consultant or legal practitioner engaged by Oduko R. These include the execution of an Application, any one on one advisory session, and the final submission of an Application once preparation is complete. Because this category of feature carries the judgment of a professional who takes responsibility for the outcome, it carries a higher level of assurance than the automated features described above.

A Member should treat automated guidance as a preliminary reference and should rely on the professionally executed stage of the service for the final position on any compliance matter of consequence.

5. Affiliates

Oduko R makes the Platform available to Affiliates, who are given a distinct login through which they may create business profiles and manage Applications on behalf of their own clients. An Affiliate's clients may or may not themselves be aware that Oduko R is the platform through which their compliance process is being completed.

An Affiliate remains responsible for the accuracy of any information and documentation submitted on behalf of a client, in the same manner that a Member is responsible for their own information under these Terms. Oduko R reserves the right to introduce a separate agreement specific to Affiliates at a later date, at which point this section may be amended, replaced, or supplemented accordingly.

6. Fees and Payment

The fee shown for each Application already reflects the complete cost of the service, combining the applicable statutory or regulatory fee with the cost of the professional work involved in preparing, reviewing, and executing the submission on a Member's behalf. This means the figure shown on the Platform is the full and complete cost of having an Application properly handled from beginning to end, rather than the statutory fee taken on its own.

Application fees are paid directly on the Platform, and the submission of any Application for processing is only completed once payment has been received.

Fees are subject to change from time to time. Where a Regulatory Body increases a statutory or regulatory fee, Oduko R may pass that increase on to Members, and will do so immediately where the Regulatory Body's own increase takes effect immediately, or otherwise with notice given in advance. Where a fee increase does not originate from a statutory or regulatory source, Oduko R will give notice of between seven and thirty days before the new fee takes effect, with the exact length of notice depending on the type of registration involved, its sensitivity, and the reason behind the increase.

Most services on the Platform are priced individually, per service. Where a service is offered on a subscription basis instead, this will be stated clearly at the point of signup for that service.

7. Duration of Applications

The duration shown against an Application reflects an accurate estimate, and Oduko R works on the basis of best efforts to meet it. A Member should nonetheless understand that certain steps in a compliance process, once an Application reaches a Regulatory Body, sit outside the control of Oduko R, and that some Applications may accordingly take longer than the timeline originally proposed. Oduko R commits to doing its best to execute every Application on time, while being transparent that a proposed duration is a target rather than a guarantee.

Where a Member voluntarily chooses to discontinue a service, a refund may not be possible once the related Application has already been submitted to the applicable Regulatory Body for processing.

Where an Application is delayed beyond ninety days past its due date, and that delay results from a cause attributable to Oduko R, a full refund will be issued if demanded, and the Member will be notified of this determination through the Platform, or by call, email, or WhatsApp, as appropriate. Where the delay instead results from the Member failing to provide required information in good time, and this falls within the period during which the delay occurred, no refund will be given, and the Member will instead need to wait for processing to be completed.

Where an Application has not yet commenced, which is unlikely given that Oduko R begins work on every Application as soon as it is received, and the relevant statutory fee has not yet been paid to the Regulatory Body, Oduko R will deduct the professional fees already incurred up to that point and refund the remaining balance.

9. Member Responsibilities

  • Provide accurate, complete, and current information when creating a profile and when submitting any Application.
  • Provide any government issued identification or supporting document required for a specific Application in a timely manner.
  • Use the Platform only for lawful purposes connected to the compliance needs of the Member's own business or, in the case of an Affiliate, the business of a client the Affiliate is duly authorized to represent.
  • Review any automated guidance provided through the Compliance Catalog and seek professional review before relying on it for a matter of consequence.

10. Disclaimers

The Platform is made available on an as is basis. Oduko R is not a Regulatory Body, does not issue statutory approvals, and cannot guarantee that any particular Application will be approved, since approval decisions rest entirely with the applicable Regulatory Body.

Automated guidance provided through the Compliance Catalog and related features is generated on the basis of the best available regulatory information at the time it is presented, and reflects Oduko R's professional judgment regarding what is likely to apply to a given business. It does not amount to a guarantee, and it is not, on its own, a substitute for individualized advice from a qualified consultant or legal practitioner.

11. Limitation of Liability

Where a Regulatory Body rejects a filing because of information the Member provided, and not because of an error attributable to Oduko R, Oduko R will contact the Member's representative to communicate the finding and request any further detail required. Where this results in a penalty or other liability, that additional cost is borne by the Member's business, and not by Oduko R.

Oduko R is not responsible for typographical errors, incorrect application details supplied by a Member, or the selection of an incorrect application category by a Member. Because the Compliance Catalog is built on Oduko R's professional judgment of what is likely to apply to a given business, the owner of a business remains responsible for confirming what else may be required for its specific circumstances, and for raising any question about the completeness of its Compliance Catalog with Oduko R directly.

12. Indemnification

A Member agrees to indemnify and hold Oduko R, its directors, employees, consultants, and Affiliates harmless from and against any claim, loss, penalty, or expense arising out of the Member's breach of these Terms, the Member's provision of inaccurate or incomplete information, or the Member's misuse of the Platform, except to the extent that such claim, loss, penalty, or expense results directly from an error attributable to Oduko R.

13. Intellectual Property Rights

All intellectual property associated with Oduko, including but not limited to its branding, designs, interface, text, software, and media, belongs to Oduko R. A Member may not copy, distribute, or modify any material appearing on the Platform, or present such material as their own.

Nothing in these Terms transfers ownership of any such intellectual property to a Member, and a Member's use of the Platform grants only a limited right to access and use the Platform for its intended purpose, for as long as the Member's account remains active and in good standing.

14. Marketing Communications

The business contact details a Member submits, including email addresses, are used to send educational content, newsletters, promotional communications, and reminders. A Member is added to this list by default upon submitting their contact details, and may unsubscribe from marketing communications at any time, while continuing to receive transactional communications connected directly to an active Application.

15. Suspension and Termination

Oduko R may suspend or close a Member's account under either of the following circumstances:

  • Dormancy: meaning an account through which no filing or Application has taken place for at least twenty-four (24) months.
  • Fraudulent or suspicious activity: fraudulent or otherwise suspicious activity connected to the account.

16. Modification of Terms

Oduko R may update these Terms from time to time to reflect changes in its services, in applicable regulatory requirements, or in its own operations. Where a change is made, Oduko R will take reasonable steps to notify Members, including through the Platform or by the contact details on file. Continued use of the Platform following such a change constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, and any dispute arising out of or connected to these Terms or the use of the Platform will be subject to the jurisdiction of the courts of the Federal Republic of Nigeria.
